"Because That's Where The Money Is": A Theory Of Corporate Legal Compliance, William Bradford Dec 2011

"Because That's Where The Money Is": A Theory Of Corporate Legal Compliance, William Bradford

william bradford

Upon his capture in 1934, the legendary bank robber Willie Sutton was asked by FBI agents, Why do you rob banks, Willie? Sutton, who believed the question to be rhetorical, replied, dryly, Because that's where the money is. In other words, Sutton understood his interrogator to be inquiring as to why he robbed banks rather than, say, homes, or gas stations, or church offering plates. Had he understood the query as intended - i.e., what was it about Willie Sutton the impelled Willie Sutton to crime when many others, struggling to survive the Great Depression, were not? - Sutton could …

Combining Equity And Utilitarianism In A Mathematical Programming Model, John Hooker, H Williams Oct 2011

Combining Equity And Utilitarianism In A Mathematical Programming Model, John Hooker, H Williams

John Hooker

We discuss the problem of combining the conflicting objectives of equity and utilitarianism, for social policy making, in a single mathematical programming model. The definition of equity we use is the Rawlsian one of maximizing the minimum utility over individuals or classes of individuals. However, when the disparity of utility becomes too great, the objective becomes progressively utilitarian. Such a model is particularly applicable not only to health provision but to other areas as well. Building a mixed-integer/linear programming (MILP) formulation of the problem raises technical issues, because the objective function is nonconvex and the hypograph is not MILP representable …

The Continuum Of Psychotic Organizational Typologies, Murray Hunter Oct 2011

The Continuum Of Psychotic Organizational Typologies, Murray Hunter

Murray Hunter

The paper discusses the influence on our perceptions from the basic psychotic disposition of organizations. Cognitive distortion is influenced by the psychotic traits of an organization along a continuum of various states which include paranoia, obsessive-compulsive, dramatic, depressive, schizoid, and narcissistic tendencies. These tendencies may be of assistance in the early start-up phases of a firm but overtime distort perceptions and behaviour of the organization through the defense mechanisms they develop. The psychotic continuum is a worthy paradigm through which to view organizational opportunity, strategy, operations, and decision making, potentially capable of assisting in diagnosing the causes of organization disfunction.

Understanding Csr: An Empirical Study Of Private Self-Regulation, Benedict Sheehy Sep 2011

Understanding Csr: An Empirical Study Of Private Self-Regulation, Benedict Sheehy

Benedict Sheehy

Abstract: The article is a study of an important burgeoning form of regulation—private self-regulation—in the area of Corporate Social Responsibility (CSR). Rather than taking a purely theoretical approach or a social scientific study relying publicly reported data, the article addresses the issue by way of interview based case studies. As a study in regulation it clarifies the difference between various types of self-regulation, trade associations’ codes as private self-regulation and government sponsored self-regulation. This distinction hampers efforts to understand the important aspects of motivation and compliance. This study provides empirical examination of compliance in private self-regulation. Given the impact and …

Ownership Unbundling In European Energy Market & Legal Problems Under Eu Law, Michael Diathesopoulos Sep 2011

Ownership Unbundling In European Energy Market & Legal Problems Under Eu Law, Michael Diathesopoulos

Michael Diathesopoulos

In this paper we will examine the issue of ownership unbundling and forced divestiture remedies imposed in a series of recent competition law cases of the energy market - examined in other papers - in relation to the possible existence of a series of legal obstacles. These energy market decisions belong to a group of antitrust cases in which a structural divestiture remedy has been imposed under the provisions of Article 9 of Regulation 1/2003. This divestiture refers to transmission networks and to generation capacity and is meant to lead to severe structural changes, which are compatible with the findings …

Connect & Thrive: Perspectives Of A Newly Tenured Professor, Corey A. Ciocchetti Aug 2011

Connect & Thrive: Perspectives Of A Newly Tenured Professor, Corey A. Ciocchetti

Corey A Ciocchetti

This essay encapsulates my perspective (newly-tenured and seven years into my career) on how average professors can become highly effective professors. The secret rests in the ability to genuinely connect with students. Connecting really matters - even if it takes some personality adaptation and thrusts academics out of their comfort zones. Many professors fail to connect with students in a meaningful way. My evidence for this assertion is simple and straightforward. In addition to teaching, I am blessed to travel the country and speak on college campuses.3 After extensive discussions on these trips, students consistently claim their professors are boring, …

A Decade Of Service-Learning: A Review Of The Field Ten Years After Jobe’S Seminal Special Issue, Amy L. Kenworthy-U'Ren Jul 2011

A Decade Of Service-Learning: A Review Of The Field Ten Years After Jobe’S Seminal Special Issue, Amy L. Kenworthy-U'Ren

Amy L. Kenworthy

This article reviews developments in the field of service-learning, both in terms of general management education and business ethics specific courses, over the past 10 years. Using the 1996 Journal of Business Ethics special issue on service-learning as a benchmark, numerous accomplishments are presented and continued barriers are discussed. Finally, three issues are raised as next steps for service-learning authors and practitioners as we move forward into the next decade: (1) designing effective and sustainable university/community partnerships, (2) addressing problems stemming from the conspiracy of courtesy, and (3) optimizing the intersection between online learning and service-learning.

La Qualificazione Del C.D. "Titolo Sportivo" Nel Trasferimento D'Azienda Nell'ambito Di Procedure Concorsuali, Claudio Sottoriva Jun 2011

La Qualificazione Del C.D. "Titolo Sportivo" Nel Trasferimento D'Azienda Nell'ambito Di Procedure Concorsuali, Claudio Sottoriva

Claudio Sottoriva

The Use Of Social Networks In Top Management - The Case In Chile, Alfredo Enrione Jun 2011

The Use Of Social Networks In Top Management - The Case In Chile, Alfredo Enrione

Alfredo Enrione

• Survey taken in July 2011. Sample was 2,311 top managers from a universe of 17,052: Partners, Board Members, CEO and other officers in the executive suite

• Social networks are no longer exclusive to younger generations of students and lower rank employees. 77,2% of the sample used social networks

• Age was a good predictive variable: while 94% of those managers below 35 years old used social networks only 32% of those above 70 years old used them

• CEOs are at a disadvantage, board members and lower ranking officers use social networks more intensively than CEOs

• Women …

Looks Aren't Everything: Aren't Managers Concerned With Actually Being Fair, Terri A. Scandura Phd, Cecily D. Cooper Jun 2011

Looks Aren't Everything: Aren't Managers Concerned With Actually Being Fair, Terri A. Scandura Phd, Cecily D. Cooper

Terri A. Scandura

The justice literature has unequivocally noted how important it is employees feel they are treated fairly. Accordingly, managers often find themselves in predicaments of injustice which they must resolve. Research on social accounts describes strategies managers can use to make themselves “seem fair,” thus, alleviating their predicament. But in taking an impression management perspective of justice, this literature fails to acknowledge that many managers actually want to “be fair.” Based on the latter assumption, we propose an alternative framework for understanding how managers will address justice-related predicaments.

An Investigation Of Leader-Member Exchange, Organizational Justice And Performance, Terri A. Scandura Phd, Manuel J. Tejeda

Terri A. Scandura

Recently, the concept of organizational justice has been employed to re-examine the Leader-member exchange (LMX) literature. LMX, and three forms of justice (distributive, procedural and interactional) examined using a sample of N = 275 leader-member dyads. Results indicated procedural justice moderates the relationship between LMX and performance.

Ethics In In Research And Publication Process: Panel, Luca Gnan, Susan R. Madsen, Jim Davis Jun 2011

Ethics In In Research And Publication Process: Panel, Luca Gnan, Susan R. Madsen, Jim Davis

Susan R. Madsen

With the fairly recent and highly publicized breaches of ethics among members of the business community, there is a need to re-examine specific strategies employed in all kinds of organizations. Many business faculty members are comfortable teaching ethics in the classroom, but are we (as scholars and educators) appropriately challenging our own ethical practices? To assist in raising awareness of ethical concerns within the EURAM, we believe it is important to focus discussions on challenging our own ethics, particularly as faculty members in our various roles. Although there are professional ethical codes, there have been few venues for dialogue. This …

Llcs And Corporations: A Fork In The Road In Delaware?, Joshua P. Fershee Jun 2011

Llcs And Corporations: A Fork In The Road In Delaware?, Joshua P. Fershee

Joshua P Fershee

As Vice Chancellor Laster explained in CML V, LLC v. Bax, 6 A.3d 238 (Del. Ch. Nov. 3, 2010): '[T]here is nothing absurd about different legal principles applying to corporations and LLCs.'" This short paper argues that courts should respect the LLC as a business form distinct from corporations and that Delaware courts have taken the first step toward doing just that.

Where legislatures have decided that distinctly corporate concepts should apply to LLCs—such as allowing piercing the veil or derivative lawsuits—those wishes (obviously) should be honored by the courts. But where state LLC laws are silent, courts should carefully …

Managing Toxic Leaders: Dysfunctional Patterns In Organizational Leadership And How To Deal With Them, Marco Tavanti May 2011

Managing Toxic Leaders: Dysfunctional Patterns In Organizational Leadership And How To Deal With Them, Marco Tavanti

Marco Tavanti

This study reviews different typologies of toxic leaders in organizations-from bullies to narcissistic leaders. Unfortunately, toxic leaders are a painful but common reality in many organizations. Their destructive behaviors and dysfunctional personal characteristics often generate enduring poisonous effects on those they lead. They are identified by selfish outcomes in their decision-making and how they leave subordinates worse off than when they began. What distinguishes excellent from average managers is their ability to effectively manage dysfunctional leaders in the workplace. Even though some organizations may promote or simply tolerate toxic leaders for economic or political reasons, the long-term impact on the …

The Impact Of The Repeal Of The Stock-For-Debt Exception On Corporate Bankruptcy Restructurings, William D. Terando, Wayne H. Shaw May 2011

The Impact Of The Repeal Of The Stock-For-Debt Exception On Corporate Bankruptcy Restructurings, William D. Terando, Wayne H. Shaw

William D. Terando

This paper investigates the effect repeal of the stock-for-debt exception on corporate bankruptcy restructurings. This exception permitted corporations to exclude cancellation of indebtedness income from gross income provided they exchanged their own common equity for debt while in Chapter 11. Consistent with claims made by Easton (1994), it is found that the change in tax law imposed significant explicit tax costs on bankruptcy filers. Despite these costs, it is found that many of these firms altered their debt restructure method to preserve net operating losses and reduce their cost of equity. Almost half of the sample firms issued significant levels …

Coöperaties In Zorg. Een Verkenning Van Vraagstukken En Goede Praktijken In Binnen- En Buitenland, Wim Van Opstal May 2011

Coöperaties In Zorg. Een Verkenning Van Vraagstukken En Goede Praktijken In Binnen- En Buitenland, Wim Van Opstal

Wim Van Opstal

Competition Law And Sector Regulation In The European Energy Market After The Third Energy Package: Hierarchy And Efficiency, Michael Diathesopoulos Apr 2011

Competition Law And Sector Regulation In The European Energy Market After The Third Energy Package: Hierarchy And Efficiency, Michael Diathesopoulos

Michael Diathesopoulos

The aim of this research is to provide the basic parameters for a model for the definition of the relation between the general competition and sector specific frameworks and rules regarding the regulation of the Internal Energy Market, especially after the Third Energy Package. The research considers the recent sector specific framework in relation to a series of recent competition law cases of the Energy Market where structural remedies were applied under the commitments procedure. Essential facilities doctrine and generally competition law tools do not seem to provide a suitable framework for effectively addressing the dynamic competition concept, treating the …

Job Satisfaction In The Public Service: The Effects Of Public Service Motivation, Workplace Attributes And Work Relations, Jeannette Taylor, Jonathan H. Westover Apr 2011

Job Satisfaction In The Public Service: The Effects Of Public Service Motivation, Workplace Attributes And Work Relations, Jeannette Taylor, Jonathan H. Westover

Jonathan H. Westover

What satisfies a public servant? Is it the money? Or is it something else, like an interesting and autonomous job, or serving the public interest? Utilizing non-panel longitudinal data from the International Social Survey Program on Work Orientations across different countries for 1997 and 2005, this article examines the effects of a selection of antecedents that are commonly related to job satisfaction. The respondents from different countries were found to share similarities in terms of what satisfies them in their jobs. The emphasis placed on these factors was however found to vary for some countries.
