Tunneling Through Non-Operational Fund Occupancy: An Investigation Based On Officially Identified Activities, Guohua Jiang, Pingui Rao, Heng Yue

In this paper, we investigate the problem of controlling shareholder Non-Operational Fund Occupancy (NOFO) in China, where controlling shareholders directly take funds away from listed firms without matching business transactions. The NOFO problem was an evident and widely used tunneling activity in China and was identified by the securities market regulators. Unlike previous literature that used indirect measures of tunneling, we directly collect the actual amounts of NOFO from mandated disclosures and utilize this direct measure of tunneling in a series of empirical tests. Do Short Sellers Front-Run Insider Sales?, Mozaffar Khan, Hai Lu

We study the behavior of short sellers as informed market participants and examine potential sources of their information. Using a newly available dataset with high-frequency short sales data, we find evidence of significant increases in short sales immediately prior to large insider sales, but not prior to small insider sales. We examine a number of explanations that the increase in short sales is driven by public information, either about the firm or about the impending insider sale. The authors empirically test the certification hypothesis by studying the roles of reputableauditors and bank underwriters in the design of bond contracts. The certification hypoth-esis suggests that reputable capital market intermediaries can credibly communicate insideinformation to outside investors, thereby helping improve financing terms for firms thatraise external funding. Consistent with this hypothesis, the authors provide evidence thatreputable auditors and underwriters help corporate bond issuers obtain lower bond yields.The effect of reputable auditors on the yields is greater than that of reputable underwritersin terms of economic magnitude and significance, consistent with auditors’ multiple roles asinformation intermediaries, monitors, and insurance providers. Popular arguments in the management literature advocate the implementation congruity and complementarity of zero-base budgeting (ZBB) with an established management-by-objectives (MBO) system. The present study examined management perceptions on 28 ZBB implementation variables for MBO users and non-MBO users which were gathered from 153 managers at two hierarchical levels within a single private sector organization. Results from both univariate and multivariate tests indicate that ZBB implementation was not facilitated by the existence of an MBO system for either lower level management or for upper level management.
