How California Governs The News Media, Jon H. Sylvester

While California legislation is generally regarded as progressive, it is not immediately clear what "progressive" means when such democratic values as the right to information and the right to privacy conflict. This article surveys how certain state laws impact the operations of the print and broadcast news media. Laws affecting the media include a number of traditional subject areas, including constitutional law, torts, evidence, and civil, criminal and administrative procedure. The topics discussed herein are defamation, invasion of privacy, cameras in the courtroom, shield law (or "reporter's privilege"), publication of recorded conversations and pilfered documents, and legislation regarding open meetings …

This article examines the statutory and decisional law of California, the District of Columbia, Massachusetts, New York and Texas to determine the similarities and differences of their laws regarding defamation, invasion of privacy, cameras in the courtroom, shield laws (reporter's privilege), broadcast of recorded conversations, publication of pilfered documents, open records legislation, and open meetings legislation.

An Appreciative Comment On Coase's The Problem Of Social Cost: A View From The Left, Pierre Schlag

Professor Coase's article, The Problem of Social Cost, played a significant role in launching the law and economics movement. Coase's insights have been used extensively by the law and economics movement as authority and inspiration for the development of an essentially right-leaning approach to law. In this Article, Professor Schlag undertakes to reexamine the original article. He shows that Coase's deconstructive moves opened up a series of volatile and radical inquiries. He then argues that the law and economics movement, in general, and Judge Posner, in particular, shut down the dangerous radicalism of these inquiries by hypostasizing Coase's insights …

Of Lollipops And Law -- A Proposal For A National Policy Concerning Tender Offer Defenses, Ted J. Fiflis

Early last year, Mesa Petroleum Company made a tender offer for shares of Unocal Corporation in an effort to take over Unocal. Unocal responded by using the "lollipop" defense, which is a discriminatory issuer self-tender offer. Unocal's use of this defense resulted in huge economic losses to many of Unocal's small shareholders who were not knowledgeable about the ramifications of their participation or non-participation in the tender offer. The Delaware Supreme Court upheld Unocal's use of this defense as an appropriate exercise of business judgment. A federal district court in California refused to strike down the lollipop under federal law …
