The Contested Merger: Introduction And Fact Summary, Jonathan Baker

"The Contested Merger" program arranged by the National Institute Committee of the Antitrust Section; and ABA's Division for Professional EducationThe program began with meetings set in corporate offices, in which the Yankee executives identified the business reasons behind the transaction, then consulted with in-house and outside counsel to assess the deal's antitrust risks and structure it. The transcript of this lesson in client counseling is reprinted following this introduction, as is the transcript of the panel discussion in which program participants offer a "reallife" analysis of the events of the program thus far.

Permanent Counterinsurgency In Guatemala, Kenneth Anderson, Jean-Marie Simon

This 1987 article in the critical theory journal Telos examined the counterinsurgency carried out in Guatemala during the late 1970s and 1980s by the Guatemalan army and security forces, and the country's transition to civilian democracy in 1986 under the presidency of Vinicio Cerezo. The article, as an exercise in radical sociology of the Left, argues sharply that the transition is little more than the appearance of democracy, while beneath lies a "permanent counterinsurgency" and authoritarian control by the army. Sabbatical leaves have proven to be a useful concept for providing extended periods of time away from the job for individ­uals to pursue other needs or interests. The concept has spread from academic and religious institutions to business and indus­try, law firms, and government.

After surveying these analogies, this staff paper reviews the limited ways in which the concept has been applied to the judiciary. It then discusses the desirability and feasibility of extending judicial sabbaticals further, particularly to the fed­eral judiciary. Why Price Correlations Don't Define Antitrust Markets: On Econometric Algorithms For Market Definition, Jonathan Baker

This paper compares two econometric methods that have been proposed for market definition: price correlations and residual demand curve estimation. Econometric theory is used to demonstrate that price correlations among firms will likely contain little or no information relevant to defining antitrust markets, under the assumption that a hypothetical cartel facing a downward sloping residual demand curve constitutes an antitrust market (defined according to the DOJ Guidelines). Hence price correlation analyses are likely to have little value for antitrust market definition. Women's Banks And Women's Access To Credit: Competition Between Marketplace And Regulatory Solutions To Gender Discrimination, Kenneth Anderson

During the 1970's, as more women entered the work force as managers, laborers and entrepreneurs, women's credit and financing needs intensified. Yet banks and other financial institutions persisted in discriminating against women in extending credit. This discrimination reflected a view that women were bad credit risks because they generallyhad no independent source or control of income. Without access to credit, women could not develop independent sources of income, build an asset base or develop their own credit histories. This in turn precluded future extensions of credit to women. Denial of access to credit for women was a cause as well …
