Actualmente el dinamismo del mercado insta a los agentes económicos a vincularse por medio de contratos, vehículo por excelencia de la autonomía privada de las partes como reglamentación de intereses de los mismos. Pero, ¿qué sucede cuando uno de los contratantes incumple o decide apartarse de dicha vinculación? En el presente artículo, el autor analiza, desde la perspectiva del derecho contractual norteamericano, la denominada "teoría del incumplimiento eficiente" y los diversos factores involucrados, así como su eventual incorporación a nuestra realidad jurídica. Finalmente, nos propone pensar mejor en términos de la "teoría de la conclusión contractual eficiente" (comentario de Themis).

This article sets out to explore the scientific pursuit of life extension in the context of current controversies surrounding death, particularly those that involve competent individuals who desire death but are unable to bring it about without the assistance of another individual. Humans are on the threshold of being able to significantly increase their life expectancy yet, in Canada and elsewhere, we have still not come to any consensus as to how we are permitted to die. This article, our sixth annual survey of electronic contracting cases, discusses the significant electronic contracting cases decided between June 15, 2009 and June 15, 2010. Over the past six years, the law of electronic contracts has matured, and the cases we discuss in this article show this maturation. The survey covers contract formation by the use of shrinkwrap, clickwrap and browsewrap terms, and contract formation by the exchange of e-mail messages.
