When Market Forces Backfire: Mandatory Esg Disclosure And Corporate Innovation, Andi Zhang

Mandatory ESG disclosure makes it possible to incorporate ESG information into stock prices, incentivizing firms to “do good”. This channel, however, may lead to suboptimal investments, according to disclosure theories. This study investigates the changes in firms’ investment in innovation activities following the staggered introduction of mandatory ESG disclosure around the world. Using a sample of corporate patents filed by listed firms across 58 countries from 2000 to 2022, I find that the introduction of mandatory ESG disclosure is associated with less corporate innovation. Informed Trading In Peers Of M&A Firms: Evidence From M&A Advisor Banks, Xuanbo Li

M&A advisor banks are privy to valuable and sensitive information through their service. I examine whether M&A advisor banks exploit such private information to trade in peers of M&A firms. I provide evidence that M&A advisor banks gain higher profits through their trading in peers of M&A firms, compared with non-advisor banks. Such informed trading is more intensive for M&A deals with larger impacts on peer firms (i.e., when the deal value is more significant for peer firms; when the M&A firms have larger market share in the industry; and when the stock price reactions of peer firms are stronger). …

When I Know Your Taste: Retail Customers’ Environmental Preferences And Firm Pollution, Mengjie Yang

I examine whether and how firms incorporate retail customers’ environmental preferences into their pollution decisions. Leveraging the staggered revelations of firms’ environmental negative news and the granularity of household grocery shopping records, I quantify local customers’ heterogeneous environmental preferences based on the extent of product sales declines following the news events. In line with the conjecture that firms factor in rewards and penalties from customers and strategically reduce their pollution, I find a significant improvement in air quality near event firms’ facilities located in markets where local customers reveal the strongest environmental preferences. Moving Towards Principles-Based Accounting Standards: The Impact Of The New Revenue Standard On The Quality Of Accrual Accounting, He, Huiyu

The new revenue standard (ASU 2014-09, codified in ASC 606 and ASC 340-40) establishes a comprehensive framework on accounting for contracts with customers and replaces most existing revenue recognition rules. The new guidance removes the inconsistencies and weaknesses of legacy guidance, while is more principles-based and requires more managerial judgements. Using as-reported data from structured filings to construct aggregate accruals that are potentially affected by the new revenue standard (i.e., sales-related accruals), I find that the new revenue standard increases the quality of sales-related accruals, as measured by future cash flow predictability. Decentralized Finance (DeFi) platforms use self-executing smart contracts to provide financial services and are programmed to automatically post all transactions on the public blockchain. Notwithstanding this public availability of blockchain information, DeFi platforms also aggregate these transactions and disclose the summarized blockchain information on their Twitter accounts. This paper studies whether and how voluntary disclosure of blockchain information plays a role in the transparent DeFi market. Despite the Securities and Exchange Commission’s (SEC) growing emphasis on data analytics in recent years, there is scant research about whether the investment in data analytics accomplishes its objective of enhancing enforcement efficiency. This study examines the effects of the SEC regional offices’ use of data analytics on their investigation outcomes. The utilization of data analytics reduces information processing costs, thereby streamlining the enforcement process as a whole. Many empirical research studies suggest that Chief Financial Officers (CFOs) with accounting qualifications improve company performance in various ways such as through better financial reporting accuracy (Aier et al., 2005), internal control (Li et al., 2010), corporate governance (Sun et al., 2015) and tax efficiency (Chen et al., 2020). This suggests that CFOs should be qualified in accounting. However, this study found that this may not always be the case.

Do managers exercise accounting discretion in an opportunistic or efficient manner? Good governance structures, which mitigate agency costs, are necessary to ensure that the accounting information supplied by management is not opportunistically manipulated. The output of quality accounting information, in turn, serves as an input to better governance structures. Thus, governance and earnings quality (EQ) are inexorably linked through a complementarity relationship. This suggests two previously unexamined relationships. Firstly, the governance effects on performance in the influential paper by Gompers, Ishii and Metrick (2003) is overrated without good EQ, measured by the magnitude of abnormal accruals (AA), as an input. …
