This Essay uses a series of survey studies to consider how public understandings of public and private companies map into urgent debates over the role of the corporation in American society. Does a social-media company, for example, owe it to its users to follow the free-speech principles embodied in the First Amendment? May corporate managers pursue environmental, social, and governance (“ESG”) policies that could reduce short-term or long-term profits? How should companies respond to political pushback against their approaches to free expression or ESG?

The Federal Trade Commission (FTC) protects consumers from unfair and deceptive business practices. In 2019, the FTC released the “Disclosures 101 for Social Media Influencers Guide” (herein referred to as the “2019 Influencer Guide”). The 2019 Influencer Guide outlines advertisers’ and endorsers’ specific responsibilities relating to the advertising and marketing of products on social media platforms. Despite the extensive information provided within the 2019 Influencer Guide, there is still great confusion regarding endorsement disclosure requirements, and many brands and influencers are not in compliance with FTC recommendations. This paper explores the threat of disinformation to American society. Focusing on social and cable news media as the primary disseminators of disinformation, it examines how the very design and nature of these two mediums promote and stimulate the intentional and viral spread of wholly inaccurate information as well as the significant and tangible negative consequences experienced across American society as a result. This Article examines three distinct areas to consider how we might move

toward racially equitable and accountable tech. The three distinct areas are:

(1) fair housing, (2) surveillance, and (3) social media. Fair housing raises

questions about where today’s racially biased algorithms fit within the context

of historical, racist government housing policy. Surveillance raises questions

about how some tech tools render Black faces invisible, while others render

Black faces dangerously conspicuous. Social media highlights the clash

Federal securities regulation originally divided corporate finance into two neat categories, public and private. In 1933, private financing was limited to “sophisticated” investors but otherwise lightly regulated. Public financing became heavily regulated. In 1982, the SEC introduced Reg D, which introduced the concept of “general solicitation” to clarify the distinction between public and private offerings. Reg D is well understood to prohibit newspaper advertisements and permit direct solicitations to venture capital investors. This enabled great wealth consolidation in regions like Silicon Valley while effectively banning general solicitations in private offerings.

The National Center for the Study of Collective Bargaining in Higher Education and the Professions (National Center) is a four-decade old institution that is supported by and located at Hunter College, City University of New York. The rapid rise of social media has brought with it an emphasis on the distinct dimensions of the whole person. Social media recognises that the individual has a personal network of extensions- a home life, a work life, a social life, a study life, a hobbyist life, and much more- some of these identities even hidden from full view. Each of these online value networks are now accessible by big business, where opinion leaders and early adopters are easily distinguishable, and where brand commentary between consumers matters manifold more than any form of targeted advertising.
