Expanding Mfw: Delaware Law Should Offer A Business Judgment Rule Safe Harbor For All Conflicted Controller Transactions, Alex Lindsey
Expanding Mfw: Delaware Law Should Offer A Business Judgment Rule Safe Harbor For All Conflicted Controller Transactions, Alex Lindsey
Fordham Journal of Corporate & Financial Law
While courts usually defer to a board’s business decisions under the business judgment rule, courts will apply a much less deferential standard of review due to loyalty concerns if a conflicted controller is involved in a business decision such as a merger. However, in Kahn v. M & F Worldwide (“MFW”) when a squeeze out merger was challenged by a minority stockholder, the Delaware Supreme Court reviewed the transaction under the deferential business judgment rule standard because the Court found that the structure of the transaction neutralized the controller loyalty concerns. Building on this reasoning, the Court developed a checklist …

The Evolution Of Leadership During The Covid-19 Pandemic: An Analysis Of The Research, Luca Patrick Thierry Gregston
University Honors Theses
A crisis, however terrible in its consequences, is also a great opportunity to study and create new models of leadership, to discover how the concept of leadership has evolved over the pandemic. Hence this paper's research question, "How has the COVID-19 pandemic changed the concept and practice of leadership? In the end much of the empirical evidence for what COVID 19 did or didn't change in leadership practices is still relatively ambiguous. So it is too early to say that "business as usual" is gone for good. And COVID furthered and deepened long term trends, accelerating the great resignation and …

Electronic Theses and Dissertations
I examine the association between CEO, CFO, and audit partner gender and accounting conservatism using a unique sample that encompasses hand-collected data. While accounting conservatism reflects less risky accounting choices, risk aversion theory indicates that females are more risk averse than males. I apply risk aversion theory to accounting conservatism and investigate two research questions: (i) Does the CEO or CFO and audit partner gender influence accounting conservatism? (ii) Does a female audit partner influence the relationship between a male CEO or CFO and accounting conservatism? Using skewness as a proxy of accounting conservatism, I test three hypotheses. The results …

We explored an undergraduate business program’s navigation of an unplanned change, response to the Covid-19 pandemic-occasioned move to online learning, and the resilience of its curriculum by following cohorts of students through two consecutive courses from the end of 2019 through 2020 up to summer 2021. The exploration was aimed at the assessment of the impact of the pandemic-induced disruptions, i.e., how the school’s curriculum fared through the pandemic. Premised on the school’s accreditor, AACSB’s agility-cultivating curriculum guideline, the curriculum should adapt and stabilize post-pandemic. To identify the appropriate cohort for observation, we scrutinized the four progressive levels of agility …
