Regulation is intended to protect the vulnerable. However, in its present form the unintended consequences of the proposed Volcker Rule has the potential of continuing the liquidity crisis that aided in the degradation of the housing market into decreased liquidity in the capital markets. In addition to increasing costs to the investor and decreasing market efficiency from increased bid ask price spreads, the proposed rule will transfer risk to less regulated financial institutions as new hedge funds open. In this article copula theory is used to analyze the co-movements between the Brazilian and American capital markets. To formulate an effective asset allocation strategy, it is important to understand extreme events – both positive (booms) and negative (crashes) – and their effects on markets. The market indexes used are the Ibovespa and the S&P 500, covering the period from March 2001 to April 2007. We tested the adherence to the log-returns of the main copulas found in the financial literature, using the following criteria: log-likelihood, Akaike information criterion and Bayesian information criterion. In this paper we will examine the issue of ownership unbundling and forced divestiture remedies imposed in a series of recent competition law cases of the energy market - examined in other papers - in relation to the possible existence of a series of legal obstacles. These energy market decisions belong to a group of antitrust cases in which a structural divestiture remedy has been imposed under the provisions of Article 9 of Regulation 1/2003. As Vice Chancellor Laster explained in CML V, LLC v. Bax, 6 A.3d 238 (Del. Ch. Nov. 3, 2010): '[T]here is nothing absurd about different legal principles applying to corporations and LLCs.'" This short paper argues that courts should respect the LLC as a business form distinct from corporations and that Delaware courts have taken the first step toward doing just that.

Abstract: Emergence is at the core of entrepreneurship research, which has explored the coming-into-being of opportunities, new organisations, re-organisations, and new industries, agglomerations, and so on. Emergence is also at the theoretical core of complexity science, which is dedicated to exploring how and why emergence happens in dynamic systems like entrepreneurship. I propose a definition for emergence, which leads to the notion that emergence can occur in ‘degrees’ – from 1st-degree emergence to 2nd-degree and 3rd-degree emergence. This paper analyzes the utility of the credit default swap, examining its vital characteristics in contract law and within the new legal framework established after the multi-trillion dollar plunge in the credit default swaps market in 2008. While market participants tend only to measure the credit risk mitigation effects of credit default swaps, this paper provides a comparative legal review of the credit default swap, focusing on its aleatory element in the light of such traditional contract types as the gambling contract, the financial guarantee or the insurance contract.
