Although literature on corporate governance and economic geography often explores similar constructs, theories, and other matters, little work has been done examining their joint effects. This two-essay dissertation integrates these literatures in order to partially fill this gap by asking the following research questions:

The purpose of this research was to develop a systems theory-based framework for leadership in governance of complex systems. Recognizing complexity and uncertainty as norms for the environments in which organizations exist encouraged researchers to suggest complexity theory, complex systems, and complex adaptive systems as appropriate for addressing these conditions. This dissertation has two essays examining negotiations between entrepreneurs and angel investors. In Essay 1, I study the dual roles of equity from the angel investor’s perspective, where the equity position sought in an embryonic firm creates two concerns. The first concern relates to the risks involved in generating returns from the initial capital investment. The second is a governance concern due to the challenges involved in managing future interactions between the firm and its environment. It is well recognized that intellectual property rights (IPR) violations are at the heart of the economic conflict with China. Little agreement, however, exists about the origin and solutions for this provocation. Broadly speaking, two prescriptions have been proposed: the natural evolutionary and the rule of law views.
