The Shareholder Primacy Norm, D. Gordon Smith

Corporate directors have a fiduciary duty to make decisions in the best interests of the shareholders. This aspect of fiduciary duty is often called the shareholder primacy norm. Legal scholars generally assume that the shareholder primacy norm is a major factor considered by boards of directors of publicly traded corporations in making ordinary business decisions and that changing the shareholder primacy norm would have an effect on the substance of those decisions. This Article challenges this view and argues that the shareholder primacy norm was never equipped to mediate conflicts between shareholders and nonshareholder constituencies of a corporation. The combination of unique species of fish, coral reefs and other invertebrates, historical shipwrecks and the commercially valuable Western rock lobster makes the Abrolhos a unique area of Western Australia. In recognition of this the Minister of Fisheries is releasing the plan 'Management of Houtman Abrolhos System', following a period of public consultation. The islands are becoming increasingly popular destination for tourists that are attracted to the diving, fishing, bird watching, maritime history and other features of the Abrolhos. This paper explores the concentration of audit services provided to listed public companies on the Stock Exchanges of Canada, Hong Kong, London, and Singapore. The Canadian and London stock exchanges are chosen as representatives of the North American and European markets, while the Hong Kong and Singapore exchanges represent the newly developed Asia Pacific markets. Public accounting firms have benefited from the globalisation trends by expanding their own markets. These three Working Papers look at NAFTA after four years. In Part I, the authors examine NAFTA's impact on trade and investment in North America; in Part II, its impact on jobs and employment; and in Part III, its impact on environmental issues. They conclude that NAFTA is an important agreement that, together with the Uruguay Round accord, will influence patterns of trade and investment in the future. To date, NAFTA has had only a modest direct impact on patterns of trade, investment, jobs, and income. NAFTA side agreements have led to changes in environmental protection policy and in the …

This paper examines the criteria that males and females use to make tourism destination choices and whether such differences result in different destination preferences. Males and females may apply different criteria to make tourism destination choices. Respondents were asked to rank eight popular WA holiday destinations, using twelve attributes. Comparisons between males and females were conducted using t-tests, perceptual mapping and external preference analysis. Bond Rating Agencies And Stock Analysts: Who Knows What When?, Louis H. Ederington, Jeremy C. Goh

Both bond ratings agencies and stock analysts evaluate publicly traded companies and communicate their opinions to investors. Comparing the timelines of each, it is found that Granger causality flows both ways. While most bond downgrades are preceded by declines in actual and forecasting earnings, both actual earnings and forecasts of future earnings tend to fall following downgrades. Although part of this post-downgrade forecast revision can be attributed to negative news regarding actual earnings, most appears to be reaction to the downgrade itself. Little change is found in actual earnings following upgrades. Analysts, however, tend to increase their forecasts of future …

In this paper we consider the discrete time/resource trade-off problem in project networks. Given a project network consisting of nodes (activities) and arcs (technological precedence relations), in which the duration of the activities is a discrete, nonincreasing function of the amount of a single renewable resource committed to it, the discrete time/resource trade-off problem minimizes the project makespan subject to precedence constraints and a single renewable resource constraint.
