Mergers and acquisitions (M&A) can be an extremely valuable tool to transform organisations and to accelerate growth strategies. However, poorly conceived and implemented acquisitions can result in significant distraction, substantial financial write-offs and, in extreme cases, put the acquirer’s future in jeopardy. Directors play an important role in the M&A decision process and should delve into key components of proposed acquisitions to improve M&A outcomes.

During the last five years, mesh networks have emerged as a promising new technology for fixed wireless radio data networks. Mesh networks differ from traditional wireless radio networks in that customer nodes serve as part of the network backbone by relaying messages from other customers. However, given the high frequency of mesh radio transmitters necessary to provide sufficient data rates, these systems operate by line-of-sight. Thus, the ability to connect random subscriber locations is a major issue. An intermediate step is introduced to the decision dialogue process for decision analysis. Alternatives are refined after they have been generated within a strategy table but before they are subject to more detailed evaluation. Two or more judges create a subjective mapping from alternatives to attributes that will later be mapped to criteria. In strategy tables, each of the alternative strategies consists of a coherent set of choices made across several decisions that are to be coordinated. Labor disputes are an intriguing feature of the landscape of industrialized economies. Economists have had a long-standing interest in formulating a framework for understanding and analyzing labor disputes. The development of noncooperative bargaining theory provided the tools for a theory of collective bargaining and labor disputes. A general aim of this theoretical development is to inform policy makers of the efficiency and equity effects associated with different labor laws and institutions that govern and shape the collective bargaining process. This study constitutes a systematic location analysis of the technology assets of Appalachia. The report identifies and documents sub-regional concentrations of technology-related employment, R&D, and applied innovation within and immediately adjacent to the 406-county service area of the Appalachian Regional Commission. By assembling and analyzing an extensive set of data at high levels of functional and spatial detail, the study reveals localized technology strengths that might be nurtured through focused economic development policy.

Auctions typically involve the sale of many related goods. Treasury, spectrum and electricity auctions are examples. In auctions where bidders pay the market-clearing price for items won, large bidders have an incentive to reduce demand in order to pay less for their winnings. This incentive creates an inefficiency in multiple-item auctions. Large bidders reduce demand for additional items and so sometimes lose to smaller bidders with lower values. We demonstrate this inefficiency in an auction model which allows interdependent values. We also establish that the ranking of the uniform-price and pay-as-bid auctions is ambiguous in both revenue and efficiency terms. …

Unemployment has remained at relatively high levels across most European countries for a generation now. There have been a number of suggested explanations for this, with correspondingly different policy implications. Two of the major hypotheses relate, first, to the impact on the European economies from increased international competition, and `globalisation’ more generally, and, secondly, to the effects of new technology and innovation. The effects of both globalisation and technology on growth and employment in Europe have been researched over the past two years through an EU-funded project, the results of which, relating in particular to innovation, are reported in this …

We present a model of the effects of legal protection of minority shareholders and of cash-flow ownership by a controlling shareholder on the valuation of firms. We then test this model using a sample of 539 large firms from 27 wealthy economies. Consistent with the model, we find evidence of higher valuation of firms in countries with better protection of minority shareholders and in firms with higher cashflow ownership by the controlling shareholder.

Italy's Government Debt is calculated at market prices for the period 1970-96 using information from official sources for all relevant components. Comparing the par and the market-value agggregate series, it appears that the two variables share a common trend but differ at the cyclical frequencies.

Feeling pressure from stakeholders, Cornell Cooperative Extension has responded using the Kellogg Commission report on the Future of State and Land-Grant Universities as a blueprint for organizational change. Results of interviews revealed both similarities and differences in county and state staff views of engagement. The most significant difference is that county staff view their jobs as the critical link between community needs and university resources, while campus staff view them as implementers of programs. This finding suggests a need to engage all staff in a mutual dialogue of roles and expectation if change based on Extension engagement is to be …

This article describes important recent developments in normative law and economics, and the difficulties they create for the project of efficiency-based legal reform. After long proceeding without a well articulated moral justification for using economic decision procedures to choose legal rules, scholars have lately begun to devote serious attention to developing a philosophically attractive definition of well-being. At the same time, the empirical side of law and economics is also being enriched with an improved understanding of the complexities of individuals' decision-making behavior.
