The success of e-commerce activity is directly affected by system integration efforts associated with traditional back office and web-based systems. The potential benefits of enterprise-wide e-commerce activities to an organization emphasize the need for system integration beyond individual sales transactions. Unfortunately, many organizations are not capitalizing on the synergistic advantages of integrated systems. Despite the apparent lack of integration, some organizations are attempting to coordinate such customer activities. Planning for and integrating e-commerce technologies are essential to an organization's survival.

As the Internet continues to grow in size and capability, many firms are implementing Web-based applications and Internet-derived economic change continues to occur. If this change is revolutionary, now or in the near future, then many managers will be required to rethink their firm strategies and managerial responses in a profound way. On the other hand, if the change is simply evolutionary, it will apply more to some firms than to others, and pre-Internet strategies and managerial responses will still be appropriate in many circumstances. There exists an electronic digital divide within the United States. This digital divide concerns access to the Internet and its corresponding technologies. The U.S. government is concerned about the digital divide because it appears that certain ethnic groups and income levels are being excluded from computer technologies and the Internet. These groups include African Americans and Hispanics, who are lagging the Caucasians significantly in gaining access to the Internet. On October 30, 1999, a Special Commission of the Hague Conference on Private International Law adopted a Preliminary Draft Convention on Jurisdiction and Foreign Judgments in Civil and Commercial Matters ("Preliminary Draft Convention," or "PDC") which was further developed in June of 2001.Originally scheduled for a final diplomatic conference in the fall of 2000, the negotiating process was delayed as a result of serious questions raised about the draft language.
After a discussion of the history of the convention, this paper presents a review of the Preliminary Draft Convention text, describing its structure and scope. It then provides a focus …
