The Shareholder Primacy Norm, D. Gordon Smith

Corporate directors have a fiduciary duty to make decisions in the best interests of the shareholders. This aspect of fiduciary duty is often called the shareholder primacy norm. Legal scholars generally assume that the shareholder primacy norm is a major factor considered by boards of directors of publicly traded corporations in making ordinary business decisions and that changing the shareholder primacy norm would have an effect on the substance of those decisions. This Article challenges this view and argues that the shareholder primacy norm was never equipped to mediate conflicts between shareholders and nonshareholder constituencies of a corporation. Most venture capitalists provide services to their portfolio companies beyond capital investment. Although these services form an important part of the bargain between the venture capitalists and the entrepreneur, they are rarely specified or even capable of specification in venture capital contracts. This article examines the moral hazard and adverse selection problems facing entrepreneurs who hire venture capitalists to provide value-added services and describes the role of the market for venture capitalist reputation in addressing those problems. Vocal Response To Pain In Piglets, Daniel M. Weary, Leah A. Braithwaite, David Fraser

Farm Animal Welfare Collection

Three experiments were performed attempting to establish the validity of vocal measures as an indicator of the immediate response to pain in domestic piglets. Vocalisations were measured while piglets were subjected to the routine farm practice of castration without anaesthetic, or restrained identically but not castrated (i.e., sham-castrated). In Experiment 1 we measured how calling changed during the different stages of the procedure, and in Experiments 2 and 3 we measured the effect of different restraint techniques. Piglets that were castrated produced significantly more high frequency calls ( >1000 Hz) than sham castrates in all three experiments. In Experiment 1, …

The political sensitivity of the area under audit to adverse media exposure and litigation concerns the nature rather than the size of an amount, such as illegal acts, bribery and corruption, related party transactions, snowballing patterns of error and other risks that grow over time. Qualitative materiality considerations should not be ignored-they can and frequently do influence the nature and scope of governmental audits. Financial Accounting Standards Board Concepts Statement No. 2 defines materiality as the magnitude of an omission or misstatement that would influence the decisions of a user of financial statements. Internet technology offers the potential to reduce the search and information costs associated with capital formation. Commentators have suggested that the Web will enable small business to achieve better access to the capital markets. To facilitate this access, they have suggested regulatory reforms to make internet offerings cheaper and easier. At the same time, small business offerings have been identified as among the most risky, offering a caution to those who counsel regulatory reform.
