The Shareholder Primacy Norm, D. Gordon Smith

Corporate directors have a fiduciary duty to make decisions in the best interests of the shareholders. This aspect of fiduciary duty is often called the shareholder primacy norm. Legal scholars generally assume that the shareholder primacy norm is a major factor considered by boards of directors of publicly traded corporations in making ordinary business decisions and that changing the shareholder primacy norm would have an effect on the substance of those decisions. This Article challenges this view and argues that the shareholder primacy norm was never equipped to mediate conflicts between shareholders and nonshareholder constituencies of a corporation. Unfortunately for those whose businesses rely on the Internet, an increasing amount of legal conflict is also arising in reaction to this new business medium. As attorneys and the courts attempt to sort out the Internet’s legal status quo, both are considering such pressing substantive issues as electronic contracts, privacy, trademark, copyright, defamation, computer crimes, censorship, and taxation. It is imperative that information system professionals become aware of how evolving Internet law will affect the medium they are charged with administrating. An initiative to expand the use of parametric estimating in government contracting has enjoyed only marginal success. Some reasons for the slower pace of implementation are the lack of availability of historical data, training, acquisition rules, utility, and accuracy concerns. Those associated with the Parametric Cost Estimating Initiative (PCEI) have a higher perception of parametric utility and accuracy than those not associated with the initiative. The PCEI advocates using parametric techniques in any situation, not just the concept/development phases advocated by most literature. Parametric estimating is a catch all term for several different types of statistically based methodologies, ranging from …

This is the third issue of the Technology on the Factory Floor series. The study was sponsored by the Manufacturing Institute and the National Science Foundation. Data for this study of manufacturing technology use was collected from 1,025 manufacturing plant managers during 1997 using a modified survey questionnaire originally used in the 1993 study.

The findings were: Since the 1993 study, inventory turnover increased, rejection and rework reduced, and cycle time and manufacturing costs decreased; overall, there was measurable improvement in manufacturing since 1993. Other findings were: larger plants use technologies more extensively than smaller plants; exporters use more manufacturing …

Most venture capitalists provide services to their portfolio companies beyond capital investment. Although these services form an important part of the bargain between the venture capitalists and the entrepreneur, they are rarely specified or even capable of specification in venture capital contracts. This article examines the moral hazard and adverse selection problems facing entrepreneurs who hire venture capitalists to provide value-added services and describes the role of the market for venture capitalist reputation in addressing those problems.
