The Ecb And Target 2 - Securities: Questions On The Legal Basis, Marco Lamandini

The current European system of securities’ clearing and settlement is still rather fragmented along national boundaries, thereby making cross border operations costly and less efficient. As a response to this, the European Central Bank (“ECB”) is launching the project of a centralized public securities’ settlement platform, called “Target 2 Securities” (“T2S”), which would entitle each participant to settle, through a single Target2 account, any securities’ transaction performed through a Central Securities Depository that provides for settlement in central bank money in Euro. En el presente trabajo se realiza un estudio de la justicia civil desde una perspectiva económica, afirmando que las relaciones sociales comprendidas en el sistema judicial pueden ser consideradas como relaciones de intercambio entre oferentes y demandantes del servicio judicial de los derechos. A partir de este análisis, y luego de revisar algunas ideas generales de la teoría de la litigación, entramos a estudiar el fenómeno de la demanda por justicia civil en Chile. Con base en fuentes primarias, se presenta una evolución y caracterización de la demanda por justicia civil en Chile, destacando su aumento en los últimos años. …

The Dog In The Manger: Defining The State's Entrepreneurial Role In Latin America, Carlos A. Patrón

Is entrepreneurship an appropriate role for the State in Latin American Countries? We contend that there is a solid theoretical and empirical basis to sustain that it is not. While there is a growing sector that opposes furthering privatization efforts carried out in the region over the past two decades, we argue that public perception is largely fuelled by shortcomings rooted in policy implementation mismanagement of past divestiture processes that does not invalidate the premises upon which privatization of state-owned enterprises stands. We examine the effect of securities laws on stock market development in 49 countries. We find little evidence that public enforcement benefits stock markets, but strong evidence that laws mandating disclosure and facilitating private enforcement through liability rules benefit stock markets.

El presente artículo identifica las claves institucionales que explican las repetidas frustraciones políticas del Perú. Argumenta que existen problemas de diseño tanto en el sistema de gobierno como en el sistema de representación. El Perú tiene un sistema de gobierno seudopresidencial, en el cual predomina un Congreso fragmentado e irresponsable, debido a que es elegido a través de un sistema de representación proporcional. Para tener bases políticas propicias para el desarrollo de los mercados, se requiere una reforma de tales instituciones políticas.

Puntual relación de las reformas militares implantadas por el segundo conde de Revillagigedo en la Nueva España, especialmente en lo referente a las milicias no profesionales, que necesitaban una urgente modernización y reglamentación. Estas reformas se implantaron como parte de los planes de la monarquía para crear un ejército colonial capaz de defender las fronteras y litorales del virreinato y de controlar los principales centros urbanos y regiones socioeconómicas. Directive 2005/29 on unfair commercial practices constitutes an ambitious attempt at building a general regulatory framework for firm actions towards consumer in the marketplace. The declared objectives of the Directive, namely consumer protection and eliminating barriers for the internal market, do not seem to provide enough support for such an overreaching legal intervention. The paper explores whether other rationales can justify the new rules and critically examines the scope and the tools to determine unfairness in commercial practices. From an efficiency perspective, Directive 2005/29, although not devoid of merit and interesting solutions, is lacking both in terms of over-optimism in …

Termination and compensation after termination are two of the most relevant –albeit not the only ones- dimensions of the long-term contracts through which distribution chains are formed and structured. The EC rules that establish a regime of compensation after termination are studied in this paper, in particular, the Commercial Agents Directive. Then, compensation after termination is analysed from the economic perspective, highlighting the importance of the open-ended nature of a relationship, termination as a disciplining mechanism against non-verifiable breach of distribution contracts, the problem of specific investments and the covenants not to compete.
