Loophole Entrepreneurship, Brian M. Sirman Dec 2023

Loophole Entrepreneurship, Brian M. Sirman

Fordham Journal of Corporate & Financial Law

All entrepreneurs seek favorable legal or regulatory treatment for their businesses. Sometimes this leads an entrepreneur to build a business within a gap in the law—a loophole. In so doing, these “loophole entrepreneurs” may avoid steep regulatory compliance costs that otherwise would beset (or perhaps prohibit) their businesses, thereby gaining advantages over competitors. Despite these benefits, loophole entrepreneurship is fraught with risks. Loopholes, by nature, are fragile, and their contours are often uncertain. Moreover, the stigma of “exploiting a loophole” (which connotes unfairness or deception) can provoke ill will among competitors, policymakers, and the public.

The ranks of loophole entrepreneurs …

An Analysis Of The Housing Affordability Crisis: Private Equity Or Legislation Issue, Jack Polk

Finance Undergraduate Honors Theses

The aim of this thesis is to explore the claim that private equity investment is the cause of the modern unaffordability in the single family housing market. Through empirical study and historical research we found that the footprint of institutional investors in this space is insignificant. However, legislative errors which have artificially inflated demand and suppressed supply over the past decade have greatly contributed to the crisis and must be corrected for the long term health of the housing space. These corrections will focus primarily in the alleviation of supply pressures for new development and the continuation of the low …

The Microfinance Experiment: An Evaluation Of Programs And Effectiveness In St. Louis, Maxwell Miller

Honors Scholar Theses

Widespread poverty remains a reality for many in both developed and developing countries. Policymakers, charitable organizations, and entrepreneurs have introduced diverse strategies to provide individuals and communities opportunities to rise from poverty. One such method is microfinance, a system developed by Muhammad Yunus in the early 1970s to provide small loans and financial services to borrowers too impoverished or otherwise lacking in credibility or collateral to be considered by traditional means of credit.

Since its inception, microfinance has spread among other countries to mixed success. While many researchers claim microfinance has proven to be an effective tool to combat poverty, …

Private Equity In Family Firms: Drivers Of The Willingness To Cede Control, Marisa Henn, Prof. Dr. Eva Lutz

The Journal of Entrepreneurial Finance

Our aim is to empirically examine how reasons for using private equity (PE) and prior experience with PE affect the willingness of privately held firms to cede company control. Based on a questionnaire entailing 75 privately held firms backed by PE, we show that family firms cede less control than non-family firms when entering a PE transaction. However, if firms seek funds due to challenges related to ownership changes, the difference between family firms and non-family firms decreases. Moreover, we find that family firms sell more company shares if they are run by a PE-experienced manager.

A principal components analysis identifies three key variables that determine the use of financial statements: experience, confidence, and knowledge. In this dissertation I investigate start-up financing by nascent entrepreneurs in the United States between 2005 and 2010. By nascent entrepreneur, I mean individuals who are in the process of creating a new business, but the business itself is not yet affecting prices and quantities in the market. Nearly all research on financing has focused on established firms. Little work, however, has been done on how entrepreneurs acquire and use financial resources during the earliest stages of the firm creation process. The availability of financial resources has been linked to firm growth and survivability, and understanding how entrepreneurs use and …
